Floating charge
A floating charge is a security interest over (typically but not necessarily) all of the assets of a company or a Limited Liability Partnership (LLP), which 'floats' until converted (subject to the terms of the charging instrument) by the chargee into a fixed charge; such conversion being usually triggered by a default by the chargor under the terms of the underlying loan documentation that the floating charge was security for. Such defaults include non-payment, invalidity of any of the lending or security documents or where the chargor company goes into insolvent liquidation. The conversion (so called crystallisation) of the floating charge to a fixed charge confers increased security rights on the chargee, as discussed below.

Floating charge
Una floating charge è un termine con il quale, nell'ambito giuridico anglossassone o di Common law, viene indicato un contratto con il quale si istituisce una garanzia su tutti i beni di una compagnia. La particolarità di questo contratto si evince dalla possibilità delle parti di istituire una clausola costitutiva con l'effetto di posticipare gli effetti contrattuali. Ovviamente si assiste ad un perfezionamento del contratto anche quando la compagnia dichiara lo stato d'insolvenza. Qualora avvenga uno dei due casi (verificarsi della condizione costitutiva o stato d'insolvenza) si assiste alla cristallizzazione della garanzia, con la possibilità di rivalsa da parte dei creditori.
