The Board of Directors at Babylon.com (the "Company") sets high standards for the Company's employees, officers and directors.
Implicit in this philosophy is the importance of sound corporate governance.
It is the duty of the Board of Directors to serve as a prudent fiduciary for shareholders and to oversee the management of the Company's business. To assist the board in fulfilling its fiduciary duties and oversight responsibilities, the Board has established two standing committees: an audit committee and a compensation committee. The Board has also adopted a Code of Conduct and a Code of Ethics. These charters and codes are subject to modification from time to time as the Board of Directors deems appropriate in the best interests of the Company or as required by applicable laws and regulations.
Mr. Lanir has been chairman of Babylon's Board of Directors since March 2008. Mr. Lanir also serves as a member of the Board of Directors at a number of companies, including Livermore Investment Ltd., I.V.S. Group Ltd., HNPK Management Ltd., a nonprofit company in memory of Avi Lanir, Rintal Ltd., Jackson Boom Ltd., Grovetron Management Ltd., and Life Tree Marketing. Livemore Investment Ltd. and HNPK Management Ltd. are shareholders in Babylon.
Alon Carmeli has served as Babylon's CEO from 2007 until 2013. Mr. Carmeli has over 20 years of experience in the executive level direction of global high-tech companies, and possesses a strong background in the Internet business, strategic planning, marketing, business development and sales. Mr. Carmeli began his career in the Israeli Air Force where he served as Lieutenant Colonel from 1983-1991. He then entered the world of global hi-tech where he held positions as Managing Director of the Simulator's Division at BVR Systems, as well as served as Vice President at VIZRT. Both companies issued an IPO during his period of leadership. Mr. Carmeli joined Babylon.com in 2002, and was promoted to the position of the Company's CEO in 2007. Mr. Carmeli holds a BA with Honors from the Tel Aviv College of Management, and an Executive MBA from Tel Aviv University.

Rami Entin serves as one of Babylon's external directors, is the chairman of the Financial Reports Committee and is a member of the Audit Committee. Mr. Entin was appointed as Babylon external director in July 2010. Mr. Entin currently serves as a director of Inter Colony, BSP, Cimatron, Hilan Tech, Ovnat Data Security Ltd. and Incentives Solutions Ltd. Mr. Entin acted as chairman of Avnet Data Security Ltd., Incentive Ltd., Hilan Tech, E.C.Tel Ltd. and Gilon Ltd. Mr. Entin holds a BA in Economics and Accounting, and an MBA from Tel Aviv University. He also holds a certificate in Advanced Management from Harvard University.
Dr. Efrat Tolkowsky
Director and Chairman of the Audit Committee
Dr. Efrat Tolkowsky serves as one of Babylon's external directors. She is the Chairman of the Audit Committee, and a member of our Financial Reports Committee. Dr. Tolkowsky was first appointed as an external director at Babylon in 2007 for a three-year term, and was reappointed for an additional three-year term in July 2010. Dr. Tolkowsky acted as an academic administrator of the Tel Aviv University-Real Estate Institution and she currently serves as a member of the Board of Directors of the Bank of Jerusalem. Dr. Tolkowsky holds a BSc in Electrical Engineering, a BA in Economics and Accounting and an MA and PhD in Economics from Tel Aviv University.

Gil Rosen has been a member of Babylon Board of Directors since March 2008. He is also a member of the Audit Committee and Financial Reports Committee. Mr. Rosen served as Vice President of Marketing at Darel Assets Ltd, and as Chief Executive Officer of Darel Assets Ltd, and also served as Vice President of Business Development at K2K. Mr. Rosen holds a BA in Economics and Business Administration from Haifa University, an MBA from Tel Aviv University and an MA in Information Management from Monash University.
